Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and 3D Tech Solutions LLC ("Company," "we," "our," or "us") governing your use of Code Scalpel software and related services.

By installing, accessing, or using Code Scalpel, you agree to be bound by these Terms. If you do not agree to these Terms, do not use Code Scalpel.

License Tiers

Code Scalpel is offered under an open-core licensing model with three tiers:

Community Tier (MIT License)

The Community tier is licensed under the MIT License. You are free to use, copy, modify, merge, publish, distribute, sublicense, and/or sell copies of the Software, subject to the conditions of the MIT License included with the software.

Pro and Enterprise Tiers (Commercial License)

Pro and Enterprise features require a valid commercial license. Using Pro or Enterprise tier features without a valid license constitutes a violation of these Terms.

Important: All code ships in a single MIT-licensed package for transparency. However, activating Pro or Enterprise tier features without purchasing the appropriate license violates these Terms and your organization's software compliance policies.

Pro and Enterprise License Terms

License Grant

Subject to payment of applicable fees and compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to:

  • Use the licensed tier's features for your internal business purposes
  • Install the software on machines operated by authorized users
  • Access and use features available at your license tier

License Restrictions

You may NOT:

  • Share your license key with unauthorized users
  • Use a single license across multiple seats (unless your plan allows)
  • Modify the license enforcement mechanisms
  • Resell, sublicense, or distribute the licensed features
  • Use the software to build a competing product

Per-Seat Licensing

Pro licenses are sold on a per-seat basis. Each developer using Pro tier features requires their own license. Enterprise licenses may include multi-seat arrangements as specified in your contract.

License Verification

The software may verify your license status periodically. Invalid or expired licenses will result in automatic downgrade to Community tier functionality.

Payment and Refunds

Subscription Fees

Pro tier subscriptions are billed monthly or annually as selected at purchase. Prices are subject to change with 30 days' notice.

Automatic Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel at any time through your account settings.

Refund Policy

We offer a 14-day money-back guarantee for new Pro subscriptions. Refunds are issued to the original payment method. Enterprise contracts may have custom refund terms.

License Revocation

In case of refund or chargeback, your license will be immediately revoked and your account downgraded to Community tier.

Support

  • Community: Community support via GitHub Issues and Discord
  • Pro: Priority email support with 48-hour response SLA
  • Enterprise: Dedicated support contact with custom SLA

Your Responsibilities

You are responsible for:

  • Maintaining the security of your license key
  • Ensuring authorized users comply with these Terms
  • Using the software in compliance with applicable laws
  • Any code or content you analyze using the software

Disclaimer of Warranties

CODE SCALPEL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR MEET YOUR SPECIFIC REQUIREMENTS.

SECURITY SCANNING RESULTS ARE INFORMATIONAL ONLY. WE DO NOT GUARANTEE DETECTION OF ALL VULNERABILITIES OR ACCURACY OF RESULTS. YOU ARE RESPONSIBLE FOR VALIDATING FINDINGS AND IMPLEMENTING APPROPRIATE REMEDIATION.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 3D TECH SOLUTIONS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM YOUR USE OF CODE SCALPEL.

OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify and hold harmless 3D Tech Solutions LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of Code Scalpel or violation of these Terms.

Termination

We may terminate or suspend your license immediately if you:

  • Violate these Terms
  • Fail to pay applicable fees
  • Use the software for illegal purposes
  • Attempt to circumvent license enforcement

Upon termination, you must cease using licensed features and destroy any copies in your possession.

Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or notice on our website at least 30 days before taking effect. Continued use after changes constitutes acceptance of the modified Terms.
